Building a startup that sells to US customers from an Indian base, or a US startup
with an engineering team in India, is now a common pattern rather than an exception.
The playbook in 2026 comes down to four decisions: where to incorporate, where to
hire, how to sell into the US, and how to stay flexible as rules on visas, tariffs
and company structure keep changing.

This guide walks through each decision using current, sourced information, including
the recent wave of Indian startups “reverse flipping” back to India and the state
of the US H-1B fee. It is a starting point, not legal or tax advice.

## Key takeaways

 * North America accounted for about 46% of the global SaaS market in 2024, according
to data cited by JM Financial, so the US is the default first export market for
   most Indian software startups.
 * Many Indian startups that set up US or Singapore parent companies are now moving
them back to India. Razorpay, PhonePe, Groww, Zepto and Dream11 have completed
this “reverse flip”, and a faster merger route introduced in September 2024 has
   made it simpler.
 * India has 2,117 global capability centres (GCCs) employing 2.36 million people,
according to the Zinnov–Nasscom 2026 report, a sign of how deep the talent market
is for US companies hiring in India.
 * The $100,000 fee on new H-1B petitions announced in September 2025 is currently
blocked by a court order, according to USCIS, but the government has said it
plans to collect it if that changes.

## Why India-US is the default corridor

For software startups the logic is simple: the biggest customers are in the US,
and a large share of engineering talent is in India. JM Financial’s July 2025 study
of about 250 Indian SaaS companies with at least $10 million in annual recurring
revenue (ARR) found the cohort’s revenue grew at 24% a year to more than $15 billion
in FY24 (April 2023 to March 2024), with 36 companies above $100 million in ARR
and the group profitable overall at a 6.5% EBITDA margin, according to [its report](https://jmflresearch.com/JMnew/JMCRM/analystreports/pdf/SaaS_18July25.pdf).
The same report cites Precedence Research data putting North America at about 46%
of the global SaaS market in 2024, and notes that later-stage funding rounds have
supported Indian companies’ expansion into the US and Europe.

The talent flow runs the other way too. The [Zinnov–Nasscom India GCC Landscape Report 2026](https://zinnov.com/centers-of-excellence/zinnov-nasscom-india-gcc-landscape-2026-report/)
counts 2,117 GCCs, the in-house technology and operations centres that multinationals
run in India, across 3,728 units, employing 2.36 million people and generating $
98.4 billion in revenue in FY26. That is the competition for talent any startup
hiring engineers in India faces, and it is also the reason US companies keep opening
Indian offices.

AI companies are following the same path. Anthropic opened a Bengaluru office in
February 2026 and said India is the second-largest market for its Claude.ai product,
according to its [announcement](https://anthropic.com/news/bengaluru-office-partnerships-across-india).

## Decision 1: where to incorporate

### The case for a US parent (the “flip”)

For years, Indian startups targeting US customers and investors set up a US holding
company, usually in Delaware, with the Indian company as a subsidiary. Delaware
says more than 2 million business entities and more than 66% of Fortune 500 companies
have made it their legal home, according to the [Delaware Division of Corporations](https://corp.delaware.gov/aboutagency/).
US investors know its corporate law, and accelerators often expect it.

Setting one up is cheap. Stripe Atlas, for example, charges a one-time $500 fee
covering Delaware incorporation, state filing fees, an EIN (US tax ID), the 83(b)
election filing and the first year of registered agent service, then $100 a year,
according to [Stripe’s Atlas page](https://stripe.com/atlas) (checked 4 October
2026). The cost that matters is not the filing fee but the ongoing compliance in
two countries: US and Indian tax filings, transfer pricing between the parent and
subsidiary, and Indian foreign exchange rules.

### Indian rules on investing abroad

Indian founders and companies investing in a foreign entity fall under the Overseas
Investment Rules notified on 22 August 2022. They allow most overseas investment
without prior approval, but restrict structures where the foreign entity has more
than two layers of subsidiaries investing back into India, and limit overseas direct
investment in startups to an Indian company’s internal accruals or an individual’s
own funds, according to law firm [Economic Laws Practice](https://elplaw.in/leadership/government-revamps-overseas-investment-rules-allows-investment-in-financial-services-deferred-payment-of-consideration-other-changes/).
Founders should get structure reviewed by a chartered accountant and lawyer before
they flip.

### The reverse flip

The bigger trend now runs the other way. Startups that flipped abroad are moving
their parent companies back to India, often with an Indian stock market listing
in mind. Razorpay completed its reverse flip in May 2025, merging its overseas parent,
Razorpay Inc., into its Indian company, and PhonePe, Zepto, Dream11 and Groww had
already completed theirs, according to [Entrackr](https://entrackr.com/news/razorpay-completes-reverse-flip-to-india-9317267).
Entrackr also listed Meesho, Pine Labs, Eruditus, Livspace, Mensa and KreditBee
as awaiting approvals at that time.

The rules have become friendlier. In September 2024, the Ministry of Corporate Affairs
amended the merger rules to let a foreign holding company merge into its wholly
owned Indian subsidiary through the faster “fast-track” route, according to law
firm [Cyril Amarchand Mangaldas](https://corporate.cyrilamarchandblogs.com/2025/09/aa-ab-laut-chalein-key-considerations-for-reverse-flips/).
It estimates the fast-track route takes three to four months, against five to 14
months for the tribunal route, and names Dream11 and Razorpay as fast-track examples.
The same analysis flags issues founders should plan for: shareholder tax on the
move, migrating employee stock options, foreign investment rules including Press
Note 3, and sector approvals from regulators such as the RBI.

### What to choose

This is our reading of the trend, not legal advice. If you expect to raise mostly
from US funds and may sell to a US acquirer, a US parent still makes sense. If you
expect to list in India, as many Indian consumer and fintech companies now do, starting
with an Indian parent avoids an expensive reverse flip later. Either way, decide
early: unwinding a structure after several funding rounds is slow and can trigger
large tax bills.

## Decision 2: where to hire

Most India-US startups split roles by function. Engineering, product, design, support
and finance operations often sit in India; sales leadership, enterprise account
executives and customer-facing solutions roles often sit in the US, near buyers.

### Hiring in India

The GCC boom means you compete with large multinationals for senior engineers. Salary
structures also differ: Indian offers are quoted as CTC (cost to company) in LPA,
or lakh per annum, where one lakh is ₹100,000, and take-home pay is lower than CTC
after provident fund, tax and other deductions. Our [in-hand salary calculator](https://100xfounder.com/tools/in-hand-salary-calculator/)
helps translate offers, and you can see who is hiring in [engineering jobs in Bengaluru](https://100xfounder.com/jobs/engineering-jobs-in-bengaluru/).

### Moving people to the US

Relocating Indian employees to the US has become harder to plan. A September 2025
presidential proclamation required a $100,000 payment for certain new H-1B petitions
filed from 21 September 2025. According to [USCIS](https://www.uscis.gov/newsroom/alerts/presidential-proclamation-on-restriction-on-entry-of-certain-nonimmigrant-workers),
a federal court in Massachusetts vacated the agency’s implementing guidance on 8
June 2026, and the government’s request to pause that order was denied on appeal;
DHS says it will comply but still plans to collect the payment if the order is lifted.
Founders should treat US relocation as uncertain and budget for alternatives such
as hiring US-based staff for customer-facing roles. Confirm any immigration decision
with a qualified US immigration lawyer.

## Decision 3: how to sell into the US

This section is our analysis, drawing on the reports above.

### Start with a narrow, high-value segment

Indian SaaS companies that have reached scale often started by solving a specific
problem, sometimes an Indian one first, and then took it global, as JM Financial
notes of companies such as Perfios and CleverTap. Pick one US customer segment where
your product is clearly better and where buyers can sign without a long procurement
process.

### Price for US value, staff for US time zones

The cross-border advantage is pricing in dollars while running much of the cost
base in rupees. That only works if support and sales cover US hours. Many teams
run an overlapping shift in India and keep at least one senior person in the US
for meetings, events and closing deals.

### Earn trust quickly

US enterprise buyers expect security reviews, data protection terms and reference
customers. A SOC 2 report, US-hosted data where required, clear contracts under
US law and a few named US logos often matter more than product features in early
deals.

### Use partner ecosystems

Marketplaces and integrations with large platforms shorten the path to US customers.
Building on the tools your buyers already use, from cloud marketplaces to finance
and CRM systems, gives you distribution you would otherwise have to buy with sales
headcount.

## Decision 4: plan for policy volatility

Rules affecting India-US businesses have moved quickly in the past year. The H-1B
fee is one example. Trade is another: in February 2026 the US and India announced
an interim deal that cut US tariffs on Indian goods from 50% to 18%, but law firm
[Morgan Lewis](https://www.morganlewis.com/pubs/2026/02/us-india-trade-deal-cuts-tariffs-eases-tensions)
noted the framework was short on specifics and made no explicit provision for services
or digital trade. For software companies, tariffs on goods matter less, but D2C
and hardware founders shipping to the US should check current US Customs rates before
pricing.

Practical steps: keep your corporate structure simple, avoid depending on a single
visa route for key people, and review your contracts’ tax and data clauses each
year.

## Bottom line

The India-US model works because it pairs the world’s largest software market with
one of its deepest engineering talent pools. What has changed by 2026 is the structure
around it: more Indian companies want an Indian parent so they can list at home,
US work visas are less predictable, and trade rules shift quickly. Founders who
make the incorporation decision deliberately, hire by function rather than by location
habit, and build US trust early are best placed. For more on who is raising and
hiring, see our [funding tracker](https://100xfounder.com/funding-tracker/) and

## FAQ

### Should an Indian startup incorporate in Delaware?

It depends on where you plan to raise money and list. A Delaware parent suits startups
expecting US investors and a US exit. Startups planning an Indian IPO increasingly
keep or move their parent company to India.

### What is a reverse flip?

It is when a startup with a foreign parent company, usually in the US or Singapore,
moves that parent back to India, typically through a merger or share swap. Razorpay,
PhonePe, Groww, Zepto and Dream11 have done this.

### How long does a reverse flip take?

Cyril Amarchand Mangaldas estimates three to four months via the fast-track merger
route introduced in September 2024, and five to 14 months via the tribunal route,
depending on circumstances.

### Is the $100,000 H-1B fee in effect?

According to USCIS, a court order currently blocks the implementing guidance, but
DHS says it plans to collect the payment if the order is lifted. Check USCIS for
the latest position.

### How much does it cost to set up a US company?

Filing costs are low. Stripe Atlas, for example, charges $500 for Delaware incorporation
and first-year registered agent service, then $100 a year. Ongoing tax and compliance
in both countries cost more.
