AMD has agreed to buy World Labs, the world-model startup founded by AI researcher
Fei-Fei Li, in an all-stock deal valued at about $8.2 billion, [the chipmaker announced](https://newsroom.amd.com/news/amd-acquire-world-labs/)
on 28 September 2026. Li will join AMD as executive vice president and chief scientist,
reporting to CEO Lisa Su. AMD is buying a frontier model lab so it can see where
AI workloads are heading, rather than leaving that knowledge to its customers and
to Nvidia.

## Key takeaways

 * AMD signed the merger agreement on 26 September and will pay about $8.2 billion
in its own shares. The deal is expected to close by the end of 2026, subject
to regulatory approval, according to [AMD’s SEC filing](https://www.sec.gov/Archives/edgar/data/2488/000000248826000182/amd-20260926.htm).
 * World Labs builds “world models”: AI that generates, reconstructs and simulates
interactive 3D environments from text, images and video, and that can be used
   to train robots.
 * The price is about 52% above the $5.4 billion valuation World Labs reportedly
received in a $1 billion round in February, [PitchBook reported](https://ca.finance.yahoo.com/news/amds-8-2b-world-labs-190257395.html).
World Labs did not confirm that valuation at the time.
 * The price is well above the roughly $4.9 billion AMD agreed to pay for server
maker ZT Systems in 2024. It also suggests chipmakers now see model research
as part of the hardware business.

## What AMD is buying

World Labs is a San Francisco company that Li founded in 2024, [TechCrunch reported](https://techcrunch.com/2026/09/28/amd-will-acquire-fei-fei-lis-world-labs-for-8-2-billion/).
Li is a Stanford computer science professor best known for creating ImageNet, the
image dataset that helped start the deep-learning boom of the 2010s. The startup
came out of stealth in September 2024, according to PitchBook, with $230 million
in funding, according to [TechCrunch](https://techcrunch.com/2026/02/18/world-labs-lands-200m-from-autodesk-to-bring-world-models-into-3d-workflows/).

Its work centres on what Li calls spatial intelligence: AI that understands and
creates three-dimensional space, not just text or flat images. World Labs’ [own announcement](https://www.worldlabs.ai/blog/amd-announcement)
lists what the team has built:

 * **Marble**, its first product, released in November 2025. It creates persistent
3D worlds from text, images or video that users can move through, edit and download.
   [SiliconANGLE](https://siliconangle.com/2026/02/18/world-labs-closes-1b-investment-backed-nvidia-amd-autodesk/)
reported that a companion tool called Chisel lets users refine scenes with plain-
   language instructions.
 * **Atlas**, a model World Labs describes as an “omni model” trained from scratch
to predict new camera views from 2D images. It entered early access with selected
partners on 1 September 2026, according to [The Rundown AI](https://www.therundown.ai/news/amd-world-labs-acquisition-fei-fei-li).
 * **SceniX**, a robotics-simulation company World Labs acquired in July 2026, which
it is using to build robot-training tools.
 * An API platform and Spark, a JavaScript library for developers.

Co-founders Justin Johnson and Ben Mildenhall will keep leading the World Labs team
inside AMD, according to the company’s post.

## The deal terms, confirmed and reported

Most of the core terms are confirmed in AMD’s filing and press release. The valuation
history comes from press reports.

  | Term | Detail | Status |
   | Price | About $8.2 billion, subject to customary adjustments | Confirmed (AMD 8-K) |
 | Payment | AMD common stock only, no cash | Confirmed (AMD 8-K) |
 | Share count | Set by AMD’s 10-day volume-weighted average price on Nasdaq just before closing | Confirmed (AMD 8-K) |
 | Agreement signed | 26 September 2026; announced 28 September | Confirmed (AMD 8-K) |
 | Expected close | By the end of 2026, subject to regulatory approvals | Confirmed (AMD release) |
 | Li’s role | Executive vice president and chief scientist, reporting to Lisa Su | Confirmed (AMD release) |
 | Premium to last round | About 52% above a $5.4 billion valuation | Reported (PitchBook) |

Because the price is fixed in dollars and paid in shares, World Labs’ investors
do not take the risk of AMD’s stock moving before closing. The number of shares
will rise or fall to match the $8.2 billion figure. AMD said it will issue the shares
privately under US securities-law exemptions rather than through a public offering.

The filing does not say whether US antitrust review is likely to be difficult. AMD
is a large company buying a small private firm in a field where it has little market
share, so the bigger closing risk may be keeping the research team together until
the deal completes.

## Why AMD wants a model lab

AMD’s explanation is about its product roadmap. Its release says World Labs’ expertise
will give it deeper insight into how AI workloads are changing as AI moves into
reasoning, robotics, simulation and what the industry calls physical AI. “Building
the compute platforms for the next generation of AI requires a deep understanding
of how models are evolving,” Lisa Su said in the announcement.

There are three practical reasons behind that.

### 1. Design chips for workloads that are still emerging

Graphics processors (GPUs) and accelerators take years to design. A chipmaker that
sees new workloads early, such as world models that need large amounts of 3D rendering,
physics simulation and video generation at once, can build hardware for them sooner.
World Labs said the move would get its research “closer to the hardware”.

### 2. Match Nvidia’s software and model layer

Nvidia already offers open-weight world models under its Cosmos brand, while AMD
had released only text- and video-based models, TechCrunch noted. Nvidia’s lead
in AI chips rests heavily on its software ecosystem. Owning a respected model lab
gives AMD research that runs on its own hardware first, plus models it can offer
developers.

### 3. Physical AI may be the next source of demand

Self-driving cars, factory robots and humanoids need large amounts of training data
that is hard to gather in the real world. World models can create that data synthetically,
which is why TechCrunch described them as vital for putting AI on robotic platforms.
If that market grows, the compute behind it is a large opportunity, and AMD wants
to influence how it is built.

## A relationship that started earlier

The deal builds on an existing partnership. AMD and World Labs began an inference-
optimisation and training partnership in 2025, and Li appeared at AMD’s CES presentation
in January 2026, TechCrunch reported. AMD also invested in World Labs’ $1 billion
round in February 2026, alongside Nvidia, Autodesk, Emerson Collective, Fidelity
and Sea, according to [World Labs](https://www.worldlabs.ai/blog/funding-2026).
Autodesk put in $200 million of that round, TechCrunch reported.

That means Nvidia, AMD’s main rival, is among the investors in the company AMD is
buying. In total, World Labs had raised about $1.29 billion according to PitchBook
data, from investors including Andreessen Horowitz, NEA and Radical Ventures.

## How it fits AMD’s deal-making

AMD has been buying AI capabilities steadily. According to its [2024 annual report](https://www.sec.gov/Archives/edgar/data/2488/000000248825000012/amd-20241228.htm),
it completed the purchase of Finnish AI lab Silo AI for $665 million in cash in
August 2024, to speed up the development of AI models on AMD hardware. In the same
month it agreed to buy ZT Systems, a maker of AI server infrastructure for large
cloud companies, in a cash-and-stock deal valued at about $4.9 billion. That deal
was meant to help AMD sell complete AI rack systems.

The pattern is clear. Silo AI brought model engineers, ZT Systems brought data-centre
system design, and World Labs brings frontier research. Each deal moves AMD further
from selling chips alone and closer to selling a full AI platform, which is the
model Nvidia has used with great success.

## What it says about AI M&A

Investors quoted by PitchBook read the deal as part of a wider trend in which large
companies buy AI teams instead of building them. “Building a team from scratch takes
years, and the window to accelerate is now,” said Ted Persson, a partner at EQT.
Matt Hartman of Factorial Capital said AMD’s choice to buy suggests teams like this
are scarce.

Not everyone is buying. Google is developing its own world model, Genie 3, and Nvidia
continues to build Cosmos in-house, PitchBook noted. Nvidia and AMD have also invested
in other world-model startups, including Odyssey and Decart. Investors are still
putting money into the field: General Intuition, which uses video-game footage to
train world models for robots, raised $220 million in September.

For founders, the main lesson is that well-funded AI labs now have a realistic exit
through strategic sale to infrastructure companies, not only through an IPO or a
sale to a large AI lab. For engineers, world-model research is becoming a hiring
priority at chip companies as well as AI labs. Browse current openings on our [AI and ML jobs board](https://100xfounder.com/jobs/ai-ml-jobs/).

## Bottom line

AMD is paying a premium for a small team and an early product line because it believes
3D simulation and robotics will be a major source of demand for AI compute, and
it wants to shape that demand rather than react to it. The deal still has to close,
the team has to stay, and Marble and Atlas have to keep improving inside a large
company. If that happens, AMD gets something it has lacked against Nvidia: models
of its own that run best on its hardware. For more AI deals and launches, follow
